2. Eligibility

3. Account Responsibilities

• Provide accurate and complete information.
• Keep login credentials confidential.
• You are fully responsible for all activity under your account.

4. Affiliate Rules

Affiliates must:

• Comply with all applicable laws (GDPR, CAN-SPAM, FTC rules).
• Use only approved traffic sources.
• Not engage in spam, incentivized clicks, malware distribution, or fraudulent behavior.
• Ensure all landing pages comply with advertising standards.

Violation may result in termination and forfeiture of earnings.

5. Advertiser Responsibilities

• Provide truthful campaign details and creatives.
• Ensure campaigns comply with laws in all target markets.
• Maintain sufficient balance for campaign activity.

6. Payments

• Minimum payout threshold: $50.
• Payment schedule: net 7 or as specified.
• Payments via Stripe, PayPal, or bank transfer.
• All fees, currency conversions, and applicable taxes are your responsibility.

7. Intellectual Property

• Netaclick trademarks, logos, and software remain the exclusive property of Holding Black Software LLC.
• Affiliates receive a limited, non-exclusive license to use approved creatives for campaigns.

8. Prohibited Conduct

You agree not to:

• Use bots, scripts, or automated systems to manipulate tracking.
• Misrepresent Netaclick or advertisers.
• Hack or attempt to gain unauthorized access to the Platform.
• Engage in illegal or unethical marketing practices.

9. Termination

Netaclick may suspend or terminate accounts:

• For violating these Terms or applicable laws.
• If fraudulent activity is detected.
• Upon request by law enforcement.

Pending payments may be withheld if violations occur.

10. Limitation of Liability

Netaclick is not liable for:

• Loss of revenue or profits.
• Indirect, incidental, or consequential damages.
• Any liability exceeding the total fees paid to you in the last 90 days.

11. Indemnification

You agree to indemnify and hold harmless Netaclick, its officers, and employees against claims arising from your use of the Platform.

12. Governing Law

These Terms are governed by the laws of Delaware, USA, with jurisdiction in Miami, Florida.

13. Dispute Resolution

Any disputes shall be resolved via binding arbitration, except for matters requiring court intervention.

14. Updates to Terms

We may update these Terms at any time. Continued use of the Platform signifies acceptance of the revised Terms.
